- Afrihost provides Afrihost Family and Afrihost Business Sponsorship Plans as a Service, a structured offering that allows the primary account holder of an Afrihost Account, such as a parent or employer who is a Client of Afrihost, who we will refer to as the Sponsor Client, to financially support other Afrihost Account holders, such as family members or employees, who we will refer to as the Sponsored Client, by sponsoring Services which the other Sponsored Clients are subscribed to.
- These Service Terms describe the terms on which the above Services are provided to Clients.
- Detailed Service descriptions can be found on the Client Interface.
- Clients may not resell the Services to third parties.
- Certain Services may not be eligible for sponsorship.
- Afrihost reserves the right to exclude certain further Services from being sponsored.
- The Sponsor Client Account and Sponsored Client Account must:
- not have any negative payment history entries within 90 (ninety) Calendar Days of signup;
- be in good standing with no overdue payments upon application and during the continued use of the Afrihost Family or Afrihost Business Sponsorship Plans;
- have valid, verified payment methods loaded on the Client Interface; and
- be compliant and continue to comply, with the Service-specific Terms, the Acceptable Use Policy, the Privacy Policy and Sanctions Policy.
- Billing:
- Clients agree that billing for Services will commence at the beginning of each Calendar Month.
- The Sponsor Client agrees to be billed in a consolidated invoice for all sponsored Services related to Sponsored Clients.
- Sponsorships granted at any time during a Calendar Month in respect of a Sponsored Client’s Service(s), will become effective from the next billing cycle, being the next Calendar Month.
- Once billing has been processed for a given Calendar Month, changes to sponsorship amounts will be locked until the next billing cycle.
- If a Sponsor Client terminates the sponsorship of a Sponsored Client’s Service or if ownership of the Sponsored Client’s Service changes, the sponsorship will automatically be voided and must be reinitiated by the Parties.
- Payment:
- All payments for the Afrihost Family and Afrihost Business Sponsorship Plan Services will be payable in terms of clause 11 of Afrihost’s General Terms (payment and penalties) and the provisions of those terms will be enforced.
- In addition, the Sponsored Client agrees that should the Sponsor Client fail to pay for the Sponsored Client’s Service(s) for any reason whatsoever, the Sponsored Client shall remain ultimately liable for payment of its Services.
- Sponsored amounts are allocated to a Virtual Wallet for each Sponsored Client.
- The sponsored amounts in the Virtual Wallet are used to pay for OR offset the billing in respect of a Sponsored Client’s Services.
- If the sponsored amount is not used in a Calendar Month, the unused funds shall roll over to the next Calendar Month.
- In rolled-over Calendar Month, the Sponsored Client will be billed less for its Services, by offsetting the Virtual Wallet credit that was rolled over with the amount invoiced in the same Calendar Month.
- If the rolled-over funds in the Virtual Wallet are not used in the rolled-over Calendar Month, the remaining balance will be credited back to the Sponsor Client.
- Sponsored Clients agree that they may not claim or withdraw unused funds in its Virtual Wallet.
- The Sponsor Client and Sponsored Client agree that suspension will be dealt with as per the General Terms.
- IN THE CASE OF SUSPENSION, THE SPONSORED CLIENT WILL BE LIABLE FOR ANY REASONABLE SERVICE, ADMIN OR RECONNECTION FEES CHARGED BY AFRIHOST (AS PER AFRIHOST’S GENERAL TERMS), AND MAY NOT BE ABLE TO ACCESS SERVICES UNTIL SUCH FEES ARE SETTLED IN FULL.
- In the event that the Sponsored Client remains in default of payment of Fees for the Services by the last day of a Calendar Month, Afrihost may initiate termination procedures effective at the end of that Calendar Month. Should it do so, the Sponsored Client’s Service will be suspended pending termination of the Service. The Sponsored Client shall remain liable for all accrued fees and charges during any suspension period, including but not limited to any promotional cancellation Fees.
- Sponsor Client-initiated termination:
- A Sponsor Client may terminate the sponsorship of any Sponsored Client at any time via the Client Interface.
- The termination will take effect in the next billing cycle.
- Once terminated,
- the Sponsored Client will be fully responsible for all payments related to their account; and
- the Sponsor Client will no longer be billed for the Sponsored Client’s Services and any unused Virtual Wallet balance will be handled in accordance with the rollover and credit clauses in clause 5 above.
- Sponsored Client-initiated termination:
- A Sponsored Client may terminate the sponsorship from a Sponsor Client by removing the sponsorship via the Client Interface.
- The termination will take effect in the next billing cycle.
- Upon termination, the Sponsored Client will revert to assuming full responsibility for payment of their account in relation to the Sponsored Client’s Services.
- The Sponsored Client agrees that any remaining Virtual Wallet balance will be used to offset the Sponsored Client’s account until depleted, after which, standard billing will resume.
- Afrihost-initiated termination:
- In addition to clauses 20.4 and 20.5 of the General Terms, Afrihost may terminate any Afrihost Family or Afrihost Business Sponsorship Plan without prior notice in the following circumstances:
- Abuse of the Afrihost Family and/or Afrihost Business Sponsorship Plans;
- Repeated non-compliance with this Agreement;
- Violation of Afrihost’s Acceptable Use Policy; or
- Fraudulent activity or misuse of the Service or elements thereof such as the Sponsorship ID or Virtual Wallet.
- Upon such termination referred to in clause 8.3.1 above:
- The Afrihost Family and/or Afrihost Business Sponsorship Plan Service will be immediately terminated;
- The Sponsored Client agrees to become fully responsible for all charges associated with its account from the date of termination of the Afrihost Family and/or Afrihost Business Sponsorship Plan Service;
- The Sponsored Client will retain access to its other Services, unless the termination is due to a violation of Afrihost’s Acceptable Use Policy, fraudulent activity or misuse;
- Any unused Virtual Wallet balance will be forfeited and may be credited back to the Sponsor Client, subject to Afrihost’s sole discretion;
- Afrihost will not be liable for any losses or disruptions resulting from the termination of the sponsorship; and
- The Sponsor Client will no longer be billed for the terminated sponsorship from the next billing cycle onward.
- The Sponsor Client and Sponsored Client must adhere to Afrihost’s Acceptable Use Policy, when making use of the Afrihost Family and Afrihost Business Sponsorship Plans.
- Moreover, in using the Services the Sponsor Client and Sponsored Client must NOT do so in a way that:
- could reasonably be considered to be fraudulent in relation to the Service being provided;
- shows an absence of good faith in the usage of the Service; or
- shows an absence of lawful, acceptable and reasonable commercial practice relating to usage of the Service.
- Examples of the irregular activities described in clause 10.2 include, but are not limited to submitting false or misleading sponsorship requests, circumventing monetary or product limits in any manner, unauthorised distribution of Sponsorship IDs, misuse of Virtual Wallet funds, tampering with billing cycles, a Client sponsoring its own account.
- IN ADDITION TO THE LIMITATIONS ON LIABILITY AND INDEMNITIES SET OUT IN THE GENERAL TERMS, AFRIHOST WILL NOT BE LIABLE FOR, AND THE SPONSOR CLIENT AND SPONSORED CLIENT AGREES TO INDEMNIFY AND HOLD AFRIHOST HARMLESS AGAINST LOSS CAUSED BY OR RELATED TO:
- ANY LOSS, DAMAGE, OR INCONVENIENCE ARISING FROM THE FAILURE OF A SPONSOR CLIENT TO APPROVE, FUND, OR CONTINUE A SPONSORSHIP;
- ANY MISUSE, ABUSE, OR OTHERWISE UNAUTHORISED USE OF SPONSORSHIP IDS, VIRTUAL WALLETS, OR QR CODE FUNCTIONALITIES;
- ANY DELAYS IN ACTIVATION OR DEACTIVATIONS OF SPONSORSHIPS, ROLLOVER OF UNUSED FUNDS, OR THE APPLICATION OF CREDITS;
- ANY LOSS, DAMAGE, OR INCONVENIENCE ARISING FROM LIMITS TO THE NUMBER OR VALUE OF SPONSORSHIPS PER ACCOUNT OR LIMITS TO APPLICABLE SERVICES WHICH ARE ELIGIBLE FOR SPONSORSHIP;
- ANY LOSS OR DAMAGE TO THE PROPERTY OR EQUIPMENT OF THE CLIENT ARISING OUT OF THE USE OR MAINTENANCE OF THE SERVICES;
- SERVICE INTERRUPTION OR FAILURE FOR ANY REASON WHATSOEVER (INCLUDING INTERRUPTION TO DATA USAGE AND SUSPENSION OF SERVICES FOR MAINTENANCE ON THE NETWORK);
- MODIFICATION, SUSPENSIONS OR DISCONTINUATION OF SERVICES, VALUE ADDED SERVICES OR PRODUCT FEATURES;
- INCORRECT OR OUT OF DATE INFORMATION PROVIDED BY THE CLIENT TO AFRIHOST;
- ERROR, DELAY, FAILURE OR NON-AVAILABILITY OF THE SERVICE AND ANY LOSS OR DAMAGE WHICH MAY RESULT FROM USE OF THE SERVICES.
- APPLICATION FOR, USE OF, AND SUBSCRIPTION TO THIS SERVICE IS AT THE SOLE RISK OF THE SPONSOR CLIENT, SPONSORED CLIENT AND APPLICANT, AS THE CASE MAY BE.
